The Capital Pool Company vehicle is a unique Canadian structure developed by the TSX-V to enable earlier stage private companies to go public and initially be listed on the Exchange. Subsequently the CPC undertakes a “Qualifying Transaction” (QT) to merge the CPC with an existing operating business. The resulting corporation can then leverage the experience of the CPC management and access shareholders and capital to complete a listing on the TSX-V (or in some cases the main Toronto Stock Exchange).
